Veelic Platform - Terms of Service

1. Acceptance of Terms

By accessing or using the Veelic platform, website, mobile applications, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not use the Services.

2. User Accounts

2.1 Eligibility: You must be at least 18 years old and have the legal capacity to enter into a contract to use the Services.

2.2 Account Creation: You are responsible for creating a secure account and maintaining the confidentiality of your account credentials. You are also responsible for all activities that occur under your account.

2.3 Account Termination: We reserve the right to terminate or suspend your account at any time, without notice, for any reason, including but not limited to a violation of these Terms.

3. Services

3.1 Service Description: Veelic provides a platform that connects businesses ("Employers") with freelance professionals ("Talent") for the purpose of outsourcing projects and services.

3.2 Employer Services: Employers may post projects, review Talent profiles, select Talent, and manage projects through the Services.

3.3 Talent Services: Talent may browse and bid on projects, communicate with Employers, and provide services through the Services.

3.4 Fees: Veelic does not charge Employers or Talent any fees for using the Services, except as otherwise specified in these Terms or on the platform.

4. User Conduct

4.1 Prohibited Activities: You agree not to engage in any of the following activities:

  • Violating any applicable laws or regulations.

  • Infringing the intellectual property rights of others.

  • Posting false or misleading information.

  • Harassing, abusing, or threatening other users.

  • Using the Services for any illegal or unauthorized purpose.

4.2 Content Responsibility: You are responsible for all content you post or transmit through the Services, including project descriptions, proposals, and communications.

5. Intellectual Property

5.1 Ownership: All intellectual property rights in the Services, including but not limited to copyrights, trademarks, and patents, are owned by Veelic or its licensors.

5.2 User Content: You retain ownership of all content you post or transmit through the Services. By posting content, you grant Veelic a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute such content for the purpose of providing the Services.

6. Payment and Fees

6.1 Payment Processing: Veelic uses third-party payment processors to handle payments between Employers and Talent.

6.2 Payment Terms: Employers are responsible for paying Talent in accordance with the terms agreed upon for each project.

6.3 Taxes: Users are responsible for paying any applicable taxes on income earned or payments made through the Services.

7. Dispute Resolution

7.1 Negotiation: In the event of a dispute between Users, the parties agree to first attempt to resolve the dispute through negotiation.

7.2 Mediation: If negotiation fails, the parties agree to attempt mediation before pursuing any other legal remedy.

7.3 Governing Law: These Terms shall be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VEELIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SERVICES.

10. Indemnification

You agree to indemnify and hold Veelic harmless from any claims, damages, losses, liabilities, and expenses arising out of or related to your use of the Services or violation of these Terms.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on our website and updating the effective date.
